LyondellBasell Agrees to Sell Its Former Houston Refinery Site to Valero for $320.5 Million

The sale hands Valero the site, its operations, its environmental liabilities and its pension obligations - and closes a chapter that began when LyondellBasell decided to get out of refining in Houston.

LyondellBasell Agrees to Sell Its Former Houston Refinery Site to Valero for $320.5 Million (SPACE CITY DAILY)

HOUSTON - LyondellBasell announced Friday that it has agreed to sell its former Houston Refinery site and related assets to Valero Refining-Texas, L.P., a wholly owned subsidiary of Valero Energy Corporation, in a transaction priced at $320.5 million, according to the company's GlobeNewswire release. Valero is assuming responsibility for ongoing site operations, environmental liabilities, pension costs and related employee obligations. The transaction is expected to close in the fourth quarter of 2026, subject to regulatory approvals and other customary closing conditions.

The company framed the deal as portfolio housekeeping after an exit already decided. Following its decision to cease refining operations, LyondellBasell said, it evaluated a range of options for the site and determined that the sale offered the most compelling opportunity to advance its strategic priorities; the release describes the transaction as another step in an ongoing portfolio transformation, sharpening the company's focus on the businesses and assets that offer the strongest strategic fit and long-term value.

For Houston, the agreement resolves the open question over one of the ship channel corridor's landmark industrial properties: not demolition or indefinite idling, but a transfer to another Texas refiner that takes the site's operations and obligations with it. What Valero ultimately operates on the site is a question the release does not answer, and this desk does not speculate on it. The closing, expected before the end of the year, will make the transfer final.
